Plain English SummaryCoTeam provides AI tools for technical sales engineers. You own your data. We do not sell it, share it with competitors, or use it to train AI models. You get a 7-day free trial, then pay monthly or yearly via PayPal. Either party can terminate. Our liability is capped at fees paid in the prior 12 months.

These Terms of Service ("Terms") constitute a binding agreement between CoTeam Inc. ("CoTeam", "we", "our") and the entity or person ("Customer", "you") accessing or using the CoTeam platform. By creating a workspace, installing the CoTeam Slack bot, or using any CoTeam service, you agree to these Terms.

1. Definitions

  • "Service" — The CoTeam platform, including the web dashboard, Slack bot, ingestion API, and all related software and infrastructure.
  • "Customer" — The organisation or individual who creates a CoTeam workspace and agrees to these Terms.
  • "User" — Any individual who accesses the Service under a Customer's workspace, including the Customer and any invited team members.
  • "Customer Content" — All data, documents, text, files, and other materials that Customer or Users upload to or process through the Service.
  • "AI Output" — Any text, code, analysis, or other content generated by the Service in response to Customer Content or User queries.
  • "Workspace" — An isolated, Customer-specific environment within the Service.
  • "Subscription" — A paid monthly or yearly plan providing continued access to the Service after the free trial.

2. The Service

2.1 Access and Free Trial

Subject to these Terms and payment of applicable fees, CoTeam grants Customer a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during the subscription term, solely for Customer's internal business purposes.

CoTeam offers a 7-day free trial starting from the date a workspace is created. No credit card is required. All features are available during the trial. At the end of the trial, access is paused unless a Subscription is started.

2.2 Accounts and Workspaces

Customer is responsible for: maintaining confidentiality of credentials and API keys; all activity occurring within their workspace; ensuring Users agree to these Terms; and promptly notifying CoTeam of any unauthorised access at team@coteam.ai.

API keys are prefixed with cot_ and shown only once at creation. Lost keys must be rotated — CoTeam cannot recover plaintext keys.

2.3 Acceptable Use

Customer agrees not to use the Service to:

  • Upload or process content that is unlawful, harmful, or infringes third-party intellectual property rights
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Build a competing product or benchmark the Service publicly without CoTeam's written consent
  • Circumvent any technical access controls, rate limits, or security measures
  • Process personal data of individuals in violation of applicable data protection law
  • Attempt to access another customer's workspace or data

3. Customer Content

3.1 Ownership and Licence

Customer retains all rights, title, and interest in Customer Content. CoTeam does not claim ownership of any Customer Content.

Customer grants CoTeam a limited, worldwide, royalty-free licence to access, process, store, and transmit Customer Content solely as necessary to provide the Service — including parsing and embedding Customer Content into the knowledge base and sending relevant portions to Anthropic and OpenAI APIs to generate responses. This licence terminates when Customer Content is deleted or the subscription ends.

3.2 No Training on Customer Content

CoTeam does not use Customer Content to train AI models.Customer Content is sent to Anthropic (for answer generation) and OpenAI (for embeddings) solely to deliver the Service. Both providers operate under data processing agreements that prohibit using API inputs for model training.

3.3 AI Output

AI Outputs are based on Customer Content and publicly available information. Customer is responsible for reviewing AI Outputs before acting on them or sharing them with third parties. CoTeam does not warrant that AI Outputs are accurate, complete, or suitable for any particular purpose.

AI Outputs generated from Customer Content are owned by Customer, subject to any rights of the underlying AI model providers and applicable law.

4. Data Processing and Privacy

CoTeam's Privacy Policy is incorporated into these Terms by reference and governs how CoTeam collects, uses, and protects personal data.

To the extent Customer processes personal data of EU/EEA or UK data subjects through the Service, CoTeam acts as a data processor on Customer's behalf. A Data Processing Agreement (DPA) is available on request at team@coteam.ai.

On termination or on Customer request, CoTeam will delete Customer Content within 30 days. Billing records are retained for 7 years as required by applicable financial law.

5. Billing and Payment

5.1 Fees and Payment

Subscription fees are $149/SE/month, billed per active workspace member. Yearly plans are prepaid at 10× monthly (2 months free). Full pricing at app.coteam.ai/#pricing. Payments are processed via PayPal. By subscribing, Customer authorises CoTeam to collect recurring payments on the applicable billing cycle (monthly or yearly). All fees are in USD.

Yearly subscriptions are prepaid for 12 months at 10× the monthly rate (2 months free). Yearly subscriptions are non-refundable after 14 days from the start of the billing period, except where required by law.

Late payment: If payment fails, CoTeam will notify Customer and PayPal will retry automatically. If not resolved within 14 days, CoTeam may suspend access. If not resolved within 30 days, CoTeam may terminate the Subscription.

Seat count is automatically synced to workspace member count. There are no mid-cycle credits for seat reductions.

5.2 Cancellation

Customer may cancel at any time from Settings → Billing or by contacting team@coteam.ai. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods, except as required by law.

6. Intellectual Property

CoTeam retains all rights, title, and interest in the Service, including all software, algorithms, models, interfaces, and documentation. These Terms do not grant Customer any rights to CoTeam's intellectual property beyond the limited access licence in Section 2.1.

CoTeam may collect and use aggregate, anonymised usage data (e.g. command volume, confidence tier distribution) to improve the Service. This data does not identify Customer or Users individually.

7. Confidentiality

Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential. Each party will use Confidential Information only as necessary to fulfil obligations under these Terms, not disclose it to third parties without prior written consent, and protect it with at least the same care used for its own confidential information.

Customer Content is Customer's Confidential Information. These obligations do not apply to information that is or becomes publicly known through no breach of these Terms, or that must be disclosed by law.

8. Warranties and Disclaimers

CoTeam warrants that: the Service will perform materially in accordance with the documentation under normal use; CoTeam will implement reasonable security measures to protect Customer Content; and CoTeam will not knowingly introduce malware into the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". EXCEPT AS EXPRESSLY STATED ABOVE, COTEAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COTEAM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. AI OUTPUTS ARE NOT PROFESSIONAL LEGAL, FINANCIAL, SECURITY, OR TECHNICAL ADVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA; AND (B) COTEAM'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose.

10. Indemnification

Customer agrees to indemnify CoTeam against claims arising from: Customer Content (including IP infringement); Customer's or Users' violation of these Terms; Customer's use of AI Outputs without appropriate review; or Customer's violation of applicable law.

CoTeam will indemnify Customer against third-party claims that the Service itself (excluding Customer Content) infringes a third party's intellectual property, provided Customer promptly notifies CoTeam and allows CoTeam to control the defence.

11. Term and Termination

These Terms begin on the date you create a workspace and continue until terminated. Subscriptions renew automatically unless cancelled.

CoTeam may terminate or suspend access: immediately for material breach (including non-payment after the 30-day cure period); immediately for fraudulent or illegal activity; or with 30 days' notice for any other reason, with a pro-rated refund for unused prepaid periods.

On termination: access ceases; CoTeam deletes Customer Content within 30 days; and Sections 3.1, 3.3, 6, 7, 8, 9, 10, and 12 survive.

12. General Provisions

  • Governing law: State of Delaware, United States. The UN Convention on Contracts for the International Sale of Goods does not apply.
  • Disputes: Parties will attempt informal resolution (email team@coteam.ai) before formal proceedings. Unresolved disputes go to binding AAA arbitration in Delaware. Either party may seek emergency injunctive relief in court.
  • Class action waiver: All disputes must be resolved on an individual basis. Customer waives any right to participate in a class action lawsuit or class-wide arbitration.
  • Force majeure: Neither party is liable for failure to perform due to causes beyond reasonable control.
  • Modifications: CoTeam may modify these Terms with 14 days' notice. Continued use constitutes acceptance.
  • Assignment: Customer may not assign these Terms without CoTeam's prior written consent.
  • Entire agreement: These Terms, together with the Privacy Policy and any executed DPA, constitute the entire agreement between the parties.
  • Relationship of parties: The parties are independent contractors.
